Terms of supply

This governs buying content from us. It is short on purpose and it says plainly what we are, what you get, what we do not promise, and what happens when something goes wrong.

Who you are buying from

You buy from Four Cents Media, a division of Four Cents, at 49 Thorncliffe Park Dr, East York, ON M4H 1J6, Canada. We are the producer, not a middleman. We commission creators ourselves as our own subcontractors, we carry the risk if one of them fails to deliver, and we own the content before we grant any of it to you. We are not holding your money for anybody, we are not paying anyone on your behalf, and we do not put your funds anywhere on their way to somebody else. You pay us for something we supplied you.

What that means for the price

A package price is our price for a finished thing. It includes what we pay creators, the producer time that turns a brief into something filmable, cleared audio, and our margin. The margin is real and it is ours. We are not going to pretend it is not there, and if you ask what the creators on your job were paid, we will tell you.

What you get

The deliverables listed in your quote, in the formats listed, by the date listed. A quote states the number of assets, the aspect ratios, the revision rounds included and the usage granted. If it is not in the quote it is not in the job, and we will quote you for it rather than quietly add it.

The rights we grant you

On full payment we grant you a worldwide licence to use the delivered assets in digital advertising and on your own channels, for as long as you want, including paid media. You may edit, crop and cut them. You may not resell them as stock, and you may not grant them on to an unrelated business. We keep the right to show the work in our own portfolio unless your quote says otherwise.

We describe that grant as perpetual because that is what the market calls it and it is commercially accurate. For completeness, Canadian copyright reverts to an author's estate twenty five years after death whatever an agreement says. That is a limit on the word across this entire industry rather than a gap in what we are selling you, and we would rather you read it here than find it later.

Posting to a creator's own audience

Where a job includes a creator posting to their own account, that is a separate line and a separate price, because it is a different thing from an asset you own. Two conditions are not negotiable. The post carries a clear commercial disclosure, in the post, in the way the platform and Canadian law require. And we hold written approval of any claim about your product before it goes up. If you ask us to run something without disclosure, we will decline and we will not refund the work already done.

Claims about your product are yours

You know your product and we do not. You are responsible for the accuracy of any claim you ask us to feature, and for holding whatever substantiation the law requires for it. We are responsible for making sure a claim we filmed was approved in writing before it was published. If a regulator or a competitor challenges a claim that came from you, that one is yours.

Music

We supply licensed library music or original voiceover with every job, and we do not use trending in-app audio. This is not a stylistic preference. A platform music licence covers a creator posting organically and does not cover a brand running that video as an advertisement, and labels are currently suing brands on exactly that point. If you replace our audio with something else after delivery, what happens next is yours.

What we do not promise

We do not promise views, reach, engagement, followers, sales, install numbers or any other result, and we will not put a number like that in a quote. Anybody in this industry who does is guessing, and you should treat a guarantee of results as a reason to walk away. What we promise is the deliverables, by the date, to the standard in the quote.

Paying

Fifty per cent to start a job, the balance on delivery, unless your quote says otherwise. Prices are in Canadian dollars and HST is added where it applies. Invoices are due in fourteen days. Late invoices carry interest at 1.5% a month. We can hold delivery, and the licence above does not start, until an invoice is paid in full.

Changes, delays and cancellation

If you change the brief after filming has started, we quote the difference before doing it. If you cancel, you pay for work done and for creator commitments we cannot cancel. If we cannot deliver for a reason genuinely outside our control, we will tell you quickly and either agree a new date or refund the part not delivered.

Where our liability stops

We are liable for failing to deliver what the quote said, and we will fix it or refund it. We are not liable for lost profit, lost revenue, lost data, wasted media spend or any indirect loss. Our total liability for any job is capped at what you paid us for that job. Nothing here limits liability for death, personal injury, or our own fraud, because that cannot be limited and should not be.

If you cause the problem

You cover us against claims that come from something you supplied or told us: your product being unsafe, a claim about it being untrue, a trademark you did not own, or a change you made to a delivered asset after we handed it over.

Confidentiality and your data

We keep your brief and anything unreleased confidential until it is public. What we do with personal information is in the privacy policy.

Disputes

Talk to us first. If that does not resolve it within thirty days, either of us may take it to the courts of Ontario, and Ontario law applies. We are not asking you to waive anything or to go to arbitration in another country.
